   Running a business is a full time Job, worrying about your data being safe should not be one of your concerns. Here at SD Networks we believe it leveraging a product we have been using in house to keep our data safe. This one of our principle points of business, we will not sell anything that we do not believe in. In the industry we have found that back is often confusing, and when it comes down to needing to restore the data it often fails. What good is backups if you can not restore them? Our software utilizes 448 bit encryption, data de-duplication, and multiple site redundancy to give you the most advanced and yet simple to use solution on the market.

Description of Services and Options

Services and optional services are listed below, SD Networks reserves the right to remove optional services and or change prices for said services with written notice of 30 Days in advance. If optional services are changed or removed the subscriber has the option to cancel the contract without penalty.

Initial Setup

SD Networks will provide on-site setup of backup client(s) and local server (within 150 mile radius of SD Networks) or remote installation of the backup client. Additionally SD Networks will provide on-site customers with optional setup of pre-seeding of external USB device.[1] It is the responsibility of the customer to ship the USB device to SD Networks in the packaging provided by SD Networks at the initial appointment, and insured for no less than $150.00. Customers who are not within SD Networks’ local service area have the option of shipping their own USB device for initial seeding[2]; the USB Device will be returned to customer in suitable packaging and insured for no less than $150.00. Additional liability for damage to device will not be held against SD Networks. SD Networks will provide remote assistance for setup of external USB drive for customers not in our local service area.

During initial setup SD Networks recommends use of locally attached storage, or NAS on site in addition to off-site backups, to facilitate faster restoration in the event of all but a complete site failure. Setup of local server and hardware will be done at the time of the install by SD Networks.[3]

Normal Backup Service

Backups will be stored at no less than two off site locations; these locations will be chosen at the discretion of SD Networks, and might change over time. SD Networks will do its best not to impact service if changes are required to backup locations, but customer will not hold SD Networks liable for loss of data due to service outages relating to backup location changes.

Customers will have access to their data via local client software and remote web access; remote web access address will be provided at the time of customer sign up. Changes to such addresses will be sent to customer via email.

Disaster Recovery

SD Networks will provide this service to backup clients in good standing. A separate disaster recovery agreement will be provided to the customer at the time of execution of this option. The following features are part of this option:

·       Installation of operating system (operating system and licenses not provided)

·       Restoration of data backed up by customer

·       Diagnostics of hardware damage

·       Installation of replacement HD (hardware billed separately)

Note: Any services not listed will be billed at the option of the customer at our normal rate.

Note 2: If customer is out of the local service area, then the customer has the option of shipping system to SD Networks at their cost.

Seeding of Data

If the customer at some point requires re-seeding of the data, this option will provide that service; it is the same service as described in the initial setup service description.

Term of Service Agreement:

Service will be automatically renewed one calendar year after date of signing unless customer notifies SD Networks in writing that they wish to cancel the contract 30 days before renewal.

All work not specifically quoted or included herein will be billed at SD Networks’ current rate for technical services. All work shall be bound by the Terms and Conditions of this Agreement. The monthly amounts may be payable quarterly, in advance, for the period of this Agreement, and any renewals of this Agreement. All charges herein are subject to existing and future federal, state, and local taxes. Such taxes, if any, are payable by the Subscriber. All amounts are due within ten (10) days of invoice. All amounts not paid within ten (10) days will be charged a service fee of ten ($10.00) dollars per month and/or a re-billing fee. In the event it shall become necessary for SD Networks to institute legal proceedings or employ a collection agency to collect moneys due as part of this Agreement, including service fees, the Subscriber shall also pay all attorney or collection agency fees and expenses incurred by SD NETWORKS 



[1] Transfer of data to technician-supplied external USB hard drive for initial backup.  This allows for faster data transfer.  Subsequent data backups are incremental and do not generally require this service.

[3] Hardware not provided by SD Networks. SD Networks will utilize current customer hardware, or at customers discretion recommendation for new hardware will be provided by SD Networks.
